ROC Pref Corp. (the "Company") is a mutual fund corporation that has been created to issue 5.25-year redeemable, retractable, cumulative preferred shares (the "Preferred Shares"). The Company used the proceeds to gain tax-efficient exposure to an A+ rated structured note (the"Credit-Linked Note") that offers credit exposure to an equally weighted portfolio (the "CLN Portfolio") of approximately 125 to 150 investment grade rated companies.
